identifier numbers to legal entities as a service to the financial community; all use of the information contained in this website is at the user's risk.
This website and its contents are not intended for individual or consumer use, and by accepting these Terms of Use you represent that you are a business
organization using the website and the information it contains for business-to-business commercial purposes.
Please read these Terms of Use carefully before using this website. By accessing this website in any manner (whether automated or otherwise), you
agree to be bound by these Terms of Use, our Privacy Policy and any additional terms and conditions that are referenced below or otherwise may apply to
specific areas of this site.
You represent that you are legally able to accept these Terms of Use, and affirm that you are of legal age to form a binding contract. If you are
using our website as a representative of your employer, you represent that you have the authority to accept these Terms of Use on behalf of your employer.
In that case, references to "you" in this Terms of Use refer to your employer.
We reserve the right to change these Terms of Use at any time. Such changes will be effective when posted.
1. Rules of Conduct
There are a few rules of conduct that you are required to follow when you use this website: Do not gain unauthorized access to the site or to any
account or computer system connected to the site.
Do not obtain, or attempt to obtain, access to areas of the site or our systems that are not intended for access by you.
Do not "flood" the site with requests or otherwise overburden, disrupt or harm the site or its systems.
Do not circumvent or reverse engineer the site or its systems. Do not restrict or inhibit another user or users from using this site. If you post
something to this site, such as comments or other content, do not post anything that: infringes any third party intellectual property right (such as
copyrights), Contains any virus, malware, spyware or other harmful content or code.
You also must comply with all applicable laws and contractual obligations when you use this site.
2. Ownership of Site Content and Submissions
Saudi Credit Bureau (SIMAH) or our licensors or partners own the intellectual property rights in the information, content and materials displayed on
and available through this website, and the selection and arrangement thereof. You may use this site (including such content and materials) for your own
commercial or non-commercial use. You must keep intact all copyright and other proprietary notices.
3. Site Registration and Log In
To access certain features of this site, you may be required to provide personal and/or corporate information as part of a site registration or log-in
process. In addition, certain features of our site are only available to subscribers, and to access those areas of the site you will be required to log in
using your email address and password.
You agree to provide true, accurate, current and complete information about yourself as prompted by the applicable registration or log-in form, and
you are responsible for keeping such information up-to-date (this includes your contact information, so that we can reliably contact you). You confirm that
you are an authorized person from the Legal Entity, and that you may not impersonate another person or entity.
You are responsible for all activity occurring when this site is accessed through your account, whether authorized by you or not. Therefore, if you
create an account, be sure to protect the confidentiality of your account password. We are not liable for any loss or damage arising from your failure to
protect your password or account information. This limitation does not apply to damages caused by our willful intent or gross negligence.
4. Collection and Further Distribution of Information
You represent and warrant that you have the authority and any consent required to provide all information that you provide to us, regarding yourself
or other persons or entities,as the entity may use others to register. You agree and authorize us to (i) gather and collect any required information that
you do not provide and (ii) confirm and validate all information that you do provide with third parties, including public registries. And appoint us as your
agent in fact to the extent necessary for us to gather and confirm any required information.
5. Electronic Communications
The communications between you and us via this site use electronic means, whether you visit this site, submit information through this site, send us an email, or whether we post notices on this site or communicate with you via email. For contractual purposes, you consent to receive communications from us in an electronic form, and you agree that all terms
and conditions, agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications would satisfy if they were in writing.
All challenges of the LEI and/or the Legal Entity Reference Data with Moa'rif will be emailed to the LEI owner and subsequent approval of the data challenge and rejection will be communicated to the LEI owner and the submitter. Please be informed that Moa'rif may be required by mandatory law or per internal controls to change LE-RD as deemed appropriate.
6. Changes to This Site
SIMAH reserve the right to make changes to, or to suspend or discontinue (temporarily or permanently), this site or any portion of this site. You
agree that we will not be liable to you or to any third party for any such modification, suspension or discontinuance.Any changes regarding any aspect
having an actual or potential influence on the LEI and/or LE-RD shall be published on this website.
7. Suspension or Termination of Access
SIMAH has the right to deny access to, and to suspend or terminate your access to, the site, or to any features or portions of the site, and to remove
and discard any content or materials you have submitted to the site, at any time and for any reason, including for any violation by you of these Terms of
Use. In addition, SIMAH has a policy of terminating the site usage privileges of users who are infringers of intellectual property rights. In the event that
we suspend or terminate your access to and/or use of the site, you will continue to be bound by the Terms of Use that were in effect as of the date of your
suspension or termination.
8. Indemnification
You agree to indemnify, defend and hold us and our affiliates, and our respective shareholders, directors, officers, employees, content and service
providers, contractors, and agents, harmless from and against any claims, liabilities, losses, damages, costs and expenses, including reasonable attorneys'
fees, arising from your use of this site, your submissions to this site, or any violation of these Terms of Use, or applicable law, by you or by someone
accessing the site via your account.
9. Applicable Law and Jurisdiction
These Terms of Use, and the relationship between you and us, will be governed by the laws of Saudi Arabia, with the exclusive jurisdiction of the
Courts of Riyadh – Saudi Arabia.
10. Disclaimer
SIMAH provide what is on this site based on the available information we have without warranties of any kind, either explicit or implied. That means
we cannot guarantee or promise to give:
The information on this site (including, for example, companies or institutions information) to be true or accurate or complete or current.
11. Other
If any provision of these Terms of Use is found to be unlawful, void, or for any reason unenforceable, then that provision will be deemed severable from these Terms of Use and will not affect the validity and enforceability of any remaining provisions. These Terms of Use are not intended to benefit any third party (except for those third parties expressly
identified in Sections 8 and 10 of this Agreement), and do not create any third party beneficiaries (except for those third parties expressly identified in Sections 10 and 11 of this Agreement). Accordingly, these Terms of Use may only be invoked or enforced by you or us or a third party that has been expressly identified in Sections 10 and 11 of this Agreement,
to the extent such third party's interest shall appear.
Each agreement between the LOU and Governmental Legal Entities "public bodies" shall comprise of duration which shall last three calendar years. It will be the obligation of the Legal Entity to review the LE-RD at least once annually, to verify its accuracy and to promptly submit any changes regarding any aspect having an actual or potential influence on the
LEI and/or LE-RD.SIMAH may not unilaterally change existing fees or determine new fees during the contractual relationship with the Governmental Legal Entity.
GLEIF and the Legal Entity reserves the right to request the transfer of the LEI to another local operating unit and/or to allow another local operating unit to request such transfer on the Legal Entity's behalf, and that no fees will be assessed.
Only one single LEI may be requested for a Legal Entity and it's explicitly prohibited to request a second LEI at either with Moa'rif or any other local operating unit and the issuance of an LEI, and its yearly renewal is subject to requirements established by GLEIF. All information provided, and applications and requests lodged, to the Moa'rif must be
submitted by the Legal Entity's authorized signatories duly dated, signed and attested by the authorities of the individual signing the contract on behalf of the Legal Entity.
An LEI, (i.e. the code identifying a Legal Entity) is not covered by intellectual property rights under the Revised Berne Convention and that any such rights are fully and irrevocably transferred to the LOU. LE-RD, Legal Entity Reference Data is comprised of only publicly available data and is not covered by copyrights under the Revised Berne Convention, and
neither by any other intellectual property rights. Legal Entity will have, as a rule, certain protective rights in its legal name and that any and all rights are fully and irrevocably transferred to the LOU with the sole exception of the protective rights of the Legal Entity in its legal name.
It is understood and agreed that the purpose of the transfer, or license, of rights is only to eliminate any obstacle to the publication of LEIs and LE-RD in the GLEIS and/or to their use by anybody, including to eliminate any obstacles to the free transfer of data from the LOU to the Global LEI Repository, to the publishing, and to the download and use of
LEIs and LE-RD and/or the Golden Copy by anybody for whatever purpose, whether commercial or not and whether alone or in combination with other data. The sole reason and purpose for the transfer to GLEIF is to ensure that LEIs and LE-RD may be freely and unrestrictedly transferred to the Global LEI Repository, made available for use by anybody.
12.Duration
This contractual relationship between YOU and Moa’rif shall last notwithstanding termination, as long as your entity exists and as long as Moa’rif
exists, whichever is shorter.
13.Termination
The contractual relationship between you and Moa’rif may be terminated in the event of: a transfer of the Legal Entity's LEI to a different local
operating unit or to GLEIF, (ii) the Legal Entity abandoning its status as Legal Entity with an LEI, (iii) a deprivation of the LEI due to non-compliance of
the Legal Entity with requirements in the course of re-validation; termination with immediate effect for cause in the event of severe or repeated violation
of contractual duties, for which no cure is possible, or cure has been refused despite a reasonable cure period; Termination with immediate effect by
Moa’rif, and without any liability of Moa’rif for any damages caused by such termination, in the event that the Master Agreement of Moa’rif with GLEIF is
terminated.
Contractual Language
Any formal notices or communications between you and Moa’rif shall be accepted only in Arabic or English.
14.Invoice Payments
SIMAH will invoice you for each request for the registration of a new LEI record and for each request to renewal an existing LEI record. The entity
shall be responsible for payment for such request if the invoice remains unpaid for more than ninety (90) days such invoice shall become immediately due and
payable, as follows:
Registration: 200 + 30 VAT(15%) = 230 SAR
Annual Certification Maintenance: 200 + 30 VAT(15%) = 230 SAR.
*Note that Moa’rif may annually review its fees, and unilaterally determine new fees.
